真传一句话，假传万卷经，那么今天我给大家传一下ENAA编制的EPC合同条件。

 

目前全世界最流行的项目类型莫过于EPC模式了，而关于EPC合同条件之前写过一篇文章《国际EPC主流合同条件异同独家解读》，在那篇文章中主要介绍了典型EPC合同条件和FIDC银皮书。其实除了这两种风行的条件外，还有一种被大规模普遍采用的就是ENAA编制的EPC合同条件。

 

ENAA简介

 

ENAA全称The Engineering Advancement Association of Japan，日本工程促进协会，成立于1978年，会员237名（主要是日本公司）。

 

ENAA编制的合同条件

 

迄今为止，ENAA共编制了3种合同条件，分别为

  1. 1）International Contract for Process Plant Construction(Turnkey Lump-sum Basis)，工艺设施施工国际合同（基于总价交钥匙模式），1986年第一版，1992年第二版，目前最新版本为2010年的第三版；
  2.  
  3. 2）International Contract for Power Plant Construction(Turnkey Lump-sum Basis)，发电厂施工国际合同（基于总价交钥匙模式），1996年第一版，目前最新版本为2012年的第二版；
  4.  
  5. 3）International Contract for Engineering,Procurement and Supply for Plant Construction(EPS type contract)，如果直译就是为设施施工提供设计、采购和供货的国际合同，感觉合同内容是关于设计、采购和供货的而不包括施工，所以ENAA管这个合同条件叫EPS类型合同，实际上这个合同内容是包括施工的。EPS合同条件2007年发布了第一版，目前最新版本为2013年的第二版，可以看出来第一版发布的时间比FIDIC银皮书1999版还晚。

今天本文重点介绍的就是这个合同条件（以下简称ENAA EPC合同条件）。ENAA EPC合同条件主要章节和内容如下：

 

 

ENAA EPC合同条件推广和应用

 

ENAA EPC合同条件之所以能够被大规模推广和应用是得益于世行在其贷款的项目上采用了ENAA EPC合同条件。世行对ENAA EPC经过适当修改后主要应用于工厂或工业设施类项目，世行在此类项目上的合同类型不是叫EPC而是叫Design,Supply,and Installation（DSP），万变不离其宗，DSP和EPC没有什么本质区别，为了方便行文以下简称世行EPC合同条件。世行采用后，亚行、非洲开发银行、伊斯兰开发银行、美洲开发银行对世行的版本适当修改后予以采用。图示如下：

 

 

世行EPC合同条件简介

 

我们以世行最新的2021版的标准采购文件STANDARD PROCUREMENT DOCUMENT（SPD）为例，EPC合同条件在SPD的第三篇，如下：

对典型EPC、FIDIC银皮书、ENAA EPC（包含世行等的EPC）的简单评述

 

三种EPC条件有诸多差别，但是最根本的差别就看风险在客户和承包商之间分配的平衡性，我们可以站在承包商的角度衡量，如果把很多，很高的风险分配给承包商，那么这种条件对承包商的友好度就不高，风险分配就不是很平衡，图示如下：

 

 

结论就是站在承包商视角，目前来看，ENAA EPC条件是对承包商最友好的EPC合同条件；当然了，如果站在客户立场上，ENAA EPC条件是对客户最不友好的EPC合同条件。
